These Terms of Service govern GizAI, including Chat, image, video and audio generation, Characters, Community, Drive, Computer, hosted runtimes, websites, APIs, apps, credits, subscriptions, and related services (the Service). The Service is provided by Giz Inc., 24A Trolley Square, #1240, Wilmington, Delaware 19806, United States (**Giz**, we, us).
By creating an account, purchasing, or using the Service, you agree to these Terms. If you act for an organization, you confirm that you can bind it. Mandatory consumer rights where you live continue to apply.
1. Eligibility and accounts
You must be able to form a binding contract. You must be at least 18, or the age of legal majority where you live, to buy paid services or hosted compute in your own name. You must provide accurate information, protect credentials, and promptly report unauthorized access. You may not share or multiply accounts to evade plan, trial, credit, safety, or rate limits.
2. The integrated Service
GizAI operates across Giz-controlled domains and interfaces under the same account, billing, storage, security, and support relationship. Features, models, limits, regions and preview services may change. We may replace or discontinue features.
Computer and Drive are not backup services. Export and independently back up anything you cannot afford to lose. Hosted computers may be suspended or deleted after a subscription ends.
3. Third-party models, software and services
GizAI can route requests to third-party AI providers and can make third-party models, apps, packages, websites or runtimes available. Their licenses, acceptable-use rules, privacy terms and restrictions may also apply. A GizAI subscription does not override them.
GizAI itself does not prohibit commercial use of output. However, commercial use may be limited by the selected model, software, input, training-data issues, or third-party rights. You are responsible for checking the applicable model information and securing rights needed for your use.
4. Acceptable use
You may not use the Service to break the law or violate another person's rights; distribute malware or phishing; attack, scan or disrupt systems without authorization; create or distribute unlawful sexual content or child sexual abuse material; exploit or endanger minors; impersonate deceptively; evade safety, payment, account or quota controls; scrape or resell the Service contrary to an authorized API agreement; infringe intellectual property, privacy or publicity rights; or create excessive legal, security or infrastructure risk.
We may investigate, rate-limit, remove content, restrict features, suspend or terminate access when reasonably necessary to protect users, providers or the Service. A device-risk signal alone will not be the sole basis for permanent account termination. You may appeal an abuse decision through support@giz.ai.
Community moderation and illegal-content notices
Giz may use automated safety tools and human review to restrict Community content or accounts under these Terms or applicable law. To report content you believe is illegal, email support@giz.ai with the subject Illegal content notice and include the exact URL or other location, why you believe the content is illegal, your name and email address, and a statement that you believe the notice is accurate and complete. Giz will communicate the decision and available appeal route where applicable law requires it. Users may appeal a Community moderation decision through support@giz.ai.
5. Your content
You retain rights in prompts, files, code, messages, generated output and other content you submit. You grant Giz a limited, non-exclusive license to host, copy, transmit, transform and otherwise process private content only to provide the features you request, secure and maintain the Service, comply with law, and handle support you authorize.
For content you intentionally publish in Community, you additionally grant a worldwide, non-exclusive, royalty-free license to display, format, distribute within GizAI, search, share through user-selected functions, and moderate that content while it remains published. This license is not permission to use your post as a paid advertisement or testimonial; that requires separate permission.
You are responsible for having rights to your inputs and for your publication or use of outputs. We do not claim that AI output is unique, accurate, non-infringing or eligible for intellectual-property protection.
6. AI output and high-impact use
AI output may be inaccurate, incomplete, biased or unsafe. Review it before relying on it. Do not treat it as professional legal, medical, tax or investment advice. You remain responsible for decisions, publications, code execution and other downstream use. Do not use GizAI as the sole basis for decisions that determine another person's legal rights, health, credit, employment, housing, education or access to essential services.
7. Fees, subscriptions and taxes
Prices, billing periods, included usage and renewal terms are shown at checkout. Subscriptions renew automatically until canceled. Cancellation stops future renewal and access normally continues through the paid period. Price changes follow Section 17, and we will give reasonable notice.
You authorize the displayed payment provider to charge applicable fees and taxes. You are responsible for taxes other than taxes on Giz's income. Failed or reversed payments may suspend paid access. Cryptocurrency payment timing, network fees and exchange-rate changes are your responsibility unless the payment processor or law requires otherwise.
8. Credits
Credits are a contractual right to consume eligible Service usage. They are not money, a deposit, stored value, or transferable property and cannot be resold or redeemed for cash except where law requires. Purchased credits do not expire while the account remains in good standing. Promotional credits may expire if the expiration was shown when granted; expiring credits are consumed first.
Estimated credit cost is shown before execution where the workflow supports it. Final cost may depend on actual duration, tokens, provider units or selected options. If an eligible provider job fails before delivering the purchased result, the associated hold or charge is released or restored. Refunds and chargebacks permit us to reverse associated credits and suspend use if the balance becomes insufficient.
9. Refunds and cancellation
Membership
A new GizAI membership purchase has 14-Day Refund Protection. Request cancellation and a refund within 14 days of purchase at support@giz.ai. The refund is the unused time value of that billing period: purchase price multiplied by the unused days in that period, rounded in the customer's favor to whole days. Automatic renewals of the same membership are not new purchases for this policy.
An approved refund ends membership access immediately. Renewals under the existing subscription are non-refundable except for duplicate charges, billing errors, material non-delivery or mandatory law. We may investigate objectively fraudulent transactions or false identities, but prior lawful withdrawal or refund requests alone do not remove applicable consumer rights.
By accepting the checkout notice, you expressly request immediate access before the 14-day period ends. If you withdraw during that period, you pay only the proportion of the total contract price corresponding to service supplied before your notice, where the law permits that charge. If Giz did not obtain a legally required early-performance request or disclosure, we do not charge for early performance where the law prohibits it. Withdrawal ends access and ancillary service immediately. Mandatory local rights always prevail.
Computer
Computer purchases are separate from the membership guarantee. They are refundable before provisioning begins, or for duplicate charges, billing errors or material non-delivery. Where local law provides a withdrawal right for immediately supplied digital service, checkout may request express consent to begin performance and acknowledgment of the effect on that right.
Credits
Wholly unused purchased credits are refundable within 14 days. Once any credits from the purchase are consumed, the purchase is non-refundable except for error or mandatory law. Provider failures are ordinarily remedied by restoring credits.
Accounts terminated for a material violation are not eligible for discretionary refunds. Nothing here limits mandatory rights.
10. Privacy and human access
The Privacy Policy explains processing. We do not use private prompts, files or outputs to train general AI models. Human access to private content is limited to user-authorized support, a specific security or abuse investigation, legal obligation, or incident recovery.
11. Intellectual property
Giz and its licensors own the Service, software, branding and documentation, excluding your content and third-party materials. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your authorized access. You may not reverse engineer except where law makes that restriction unenforceable, remove notices, or use Giz marks without permission.
12. Suspension and termination
You may stop using the Service and delete your account. We may suspend or terminate for material breach, unlawful or dangerous activity, nonpayment, security risk, or where continued service is impracticable. Data deletion follows the Privacy Policy.
13. Availability and disclaimers
The Service is provided as is and as available. To the maximum extent permitted by law, Giz disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise uninterrupted availability, permanent model access, error-free output, or recovery of data. Mandatory warranties remain unaffected.
14. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, goodwill or data. Giz's aggregate liability arising from the Service is limited to the greater of US$100 or the amount you paid Giz for the affected Service during the 12 months before the event. These limits do not apply where prohibited, or to fraud, willful misconduct, death or personal injury caused by negligence, or liability that cannot legally be limited.
15. Indemnity
If you use the Service for business, you will defend and indemnify Giz and its personnel against third-party claims arising from your unlawful content or use, infringement caused by your inputs or instructions, or material breach of these Terms. This does not apply to the extent Giz caused the claim.
16. Governing law and disputes
Delaware law governs, excluding conflict rules. State and federal courts in Delaware have exclusive jurisdiction, except either party may use an eligible small-claims court and consumers retain mandatory local forums and protections. Before filing, contact support@giz.ai and allow 30 days for informal resolution. These Terms do not require arbitration.
17. Changes and general terms
We will post revisions and identify the effective date. We will give prominent notice of material changes and request renewed acceptance when law or the nature of the change requires it. A materially adverse change for an existing paid subscription takes effect only after that subscription's current paid period ends. Changes do not retroactively expand rights to previously submitted private content. If part is unenforceable, the rest remains effective. Failure to enforce is not a waiver. You may not assign these Terms without consent; Giz may assign them in a merger, reorganization or sale with continued protection of applicable rights.
